3. Services and quotes
Specific deliverables, timelines and fees for Services are set out in a separate proposal, statement of work or order confirmation. Those documents, together with these Terms, form the agreement between us. If there is any conflict, the proposal or order confirmation prevails.
4. Your responsibilities
- Provide accurate information, content and timely feedback so we can deliver Services.
- Ensure you have the right to use any materials (text, images, logos, fonts) you supply to us.
- Keep your account credentials confidential and notify us of unauthorised use.
5. Fees and payment
Fees are payable as set out in your proposal or invoice. Unless stated otherwise, invoices are due within 14 days of issue. We may suspend or pause work on overdue accounts.
6. Intellectual property
On full payment, ownership of final, custom-built deliverables transfers to you, except for third-party assets, open-source components and tools we use to provide the Services, which remain owned by their respective licensors. We retain the right to display non-confidential work in our portfolio and case studies.
7. Acceptable use
You agree not to misuse the website or Services, including by attempting to access them in unauthorised ways, uploading harmful code, or using them for unlawful activity.
8. Third-party services
Our Services may rely on third-party platforms (for example hosting, domain registrars, payment processors and analytics). Their terms apply to your use of those services and we are not responsible for their availability or actions.
9. Warranties and disclaimer
We provide the Services with reasonable skill and care. To the fullest extent permitted by law, the website and Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Services is limited to the fees paid by you for the specific Services giving rise to the claim in the 12 months prior. We are not liable for indirect, incidental, special or consequential losses, or loss of profits, revenue or data. Nothing in these Terms limits liability that cannot be excluded by law.
11. Termination
Either party may terminate an engagement in writing if the other materially breaches these Terms and fails to remedy the breach within a reasonable period after notice. You remain liable for fees for work performed up to termination.
12. Changes to these Terms
We may update these Terms from time to time. The latest version will be posted on this page with a revised effective date. Continued use of the site or Services after changes means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
